Plain-language terms for organizations licensing Whitney Pages. Where a signed agreement with your organization exists, that agreement governs.

What Whitney Pages is

Whitney Pages is software for rearranging, annotating, and exporting PDF documents. It runs in your browser or as a desktop application, and processes documents entirely on your device. Whitney Solutions ("we") licenses it to organizations; individuals use it through an account their organization's administrator creates.

Accounts and seats

An organization is licensed for a number of seats. A seat is a person invited to the organization, whether or not they have signed in yet.
Accounts are personal. Do not share sign-in codes or links; each is single-use and tied to one email address.
Your organization's administrators may add, remove, and change the role of members at any time, and may end any member's sessions.

Your documents

Your documents are yours. We do not receive them, cannot see them, and claim no rights in them. You are responsible for having the right to edit what you open, and for the content of what you export.

Check every exported file before you rely on what it hides. Edit text covers the original words with new ones; the original text is still in the file and can be copied or extracted. Black out removes the text it covers from the file, with known limits: text inside embedded page content (form XObjects), or in fonts it cannot measure, may be left in place or removed more widely than drawn. Because we never see your documents, we cannot check them for you, and you are responsible for confirming that anything confidential is really gone.

License and ownership

For as long as your organization's agreement is in force, we grant it a non-exclusive, non-transferable license for its members to use Whitney Pages for its internal business, within its seat count. We and our licensors own the software. Do not copy, resell, or sublicense it, or reverse engineer it except where the law allows. Whitney Pages includes open-source components, among them pdf.js and Tesseract (Apache License 2.0) and pdf-lib (MIT License), which are licensed under their own terms.

Acceptable use

Do not use Whitney Pages to break the law, to remove or forge signatures or notices you have no right to change, or to attempt to defeat its access controls or rate limits. We may suspend an organization that does.

Availability and updates

The application works offline once installed; the sign-in service is hosted and may occasionally be unavailable for maintenance. Installed copies keep working for up to 14 days without reaching the service. We release updates continuously; the desktop application asks before installing one.

Fees

Fees, seat counts, and term are set out in your organization's order or agreement with us. Suspension for non-payment ends access for every member until resolved; nothing is deleted.

Warranty and liability

WHITNEY PAGES IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR THAT IT WILL REMOVE, REDACT, OR PRESERVE ANY CONTENT.

TO THE EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, AND OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE IS LIMITED TO THE FEES YOUR ORGANIZATION PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Ending the agreement

Your organization may stop using Whitney Pages at any time; ask us to remove the organization and its records. We may end an organization's access for breach of these terms, with notice where practical. Documents on your devices are unaffected either way.

Changes to these terms

If we change these terms in a way that matters, we will tell your organization's administrators by email at least 30 days before the change takes effect. Continuing to use Whitney Pages after that is acceptance; an organization that does not accept may end its agreement.

General

These terms, with your organization's order or agreement, are the whole agreement about Whitney Pages. If a court finds part of them unenforceable, the rest still applies. Your organization may not transfer the agreement without our consent. Neither of us is responsible for delays caused by events outside reasonable control. You may not use or export the software in breach of United States export laws.
